Terms of Service

1. Acceptance of Terms

By accessing or using Skilio Track ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or organisation, you represent that you have authority to do so, and "you" refers to that entity.

If you do not agree to these Terms, you must not access or use the Platform.

2. About the Platform

Skilio Track is an AI-powered work management platform provided by OneStop IT Talents Pty Ltd, a company registered in Victoria, Australia. The Platform enables IT firms, recruitment agencies, and consulting teams to:

• Track billable and non-billable time against projects and tasks
• Manage projects, clients, and team members across an organisation workspace
• Capture and categorise expenses for client billing
• Generate professional invoices from tracked time and expenses
• Access real-time reports on utilisation, revenue, and project budgets

3. Subscriptions and Billing

Access to the Platform is provided on a subscription basis. Subscription plans, pricing, and feature limits are as published on the Platform at the time of purchase.

• All prices are in Australian Dollars (AUD) and include GST where applicable.
• Subscriptions are billed monthly in advance.
• Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.
• Subscription fees are non-refundable except where required by the Australian Consumer Law.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.

4. Free Trial

New accounts receive a 7-day free trial with access to all platform features. No credit card is required to begin a trial. At the end of the trial period, access to the platform will be suspended unless you upgrade to a paid plan. Trial data (time entries, projects, invoices) is retained for 30 days after trial expiry to allow you to export your data before it is permanently deleted.

5. User Obligations

You agree to:

• Provide accurate information when creating your account and workspace.
• Keep your account credentials secure and notify us immediately of any unauthorised access.
• Only upload client and team data for which you have appropriate authority and consent to process.
• Ensure team members invited to your workspace are made aware of their data being held within the Platform.
• Not use the Platform for any unlawful purpose or in any way that violates applicable Australian laws.
• Comply with all applicable laws in your jurisdiction, including obligations under the Fair Work Act 2009 in relation to employee time records.

6. Acceptable Use

You must not use the Platform to:

• Upload malicious files, viruses, or harmful code.
• Attempt to reverse-engineer, scrape, or extract data from the Platform.
• Impersonate another person or organisation.
• Input false time entries, inflated expense claims, or fraudulent invoice data.
• Use the Platform for any unlawful purpose.

We reserve the right to suspend or terminate accounts that violate this section without notice.

7. Intellectual Property

All intellectual property in the Platform — including software, design, and documentation — remains the property of OneStop IT Talents Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes during an active subscription.

You retain ownership of all data you enter into the Platform, including time entries, expense records, project data, and invoices. You grant us a limited licence to process that data solely for the purpose of providing the Platform services to you.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you agree to our Privacy Policy.

All data is stored in AWS Sydney (ap-southeast-2) and is subject to Australian data protection law. We do not sell, rent, or share personal data with third parties for marketing purposes.

Key data retention periods that apply during an active subscription:

• Time entries, expense records, and project data are retained for the life of your subscription plus 30 days, after which you have 30 days to export before permanent deletion.
• Invoice records are retained for 7 years as required by Australian tax law.
• Audit logs are retained for 7 years as required under the Privacy Act 1988.
• Billing records are retained for 7 years as required by Australian tax law.

9. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law, OneStop IT Talents Pty Ltd's total liability to you for any claim arising out of or in connection with the Platform is limited to the fees paid by you in the 3 months preceding the claim.

We are not liable for any indirect, incidental, or consequential loss, including loss of profits, data, or business opportunity. Nothing in these Terms excludes any guarantee, warranty, or right that cannot be excluded under the Australian Consumer Law.

10. Termination

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law. Upon termination, you have 30 days to export your data before it is permanently deleted.

11. Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
